Subscription Agreement for STAR Service Online

PLEASE READ THE SUBSCRIPTION AGREEMENT BELOW. BY USING THIS SERVICE, YOU ARE AGREEING TO BE BOUND BY THIS SUBSCRIPTION AGREEMENT, INCLUDING ALL AMENDMENTS MADE TO DATE.

STAR Service Online ("STAR Service") is an electronic hotel and cruise ship information service of NORTHSTAR Travel Media, LLC. By completing the registration process, and using STAR Service, you are indicating that you are 18 years old or older, and agree to be bound by all of the terms in this Subscription Agreement. You may print and keep a copy of this Agreement. NORTHSTAR Travel Media may change the terms in this Subscription Agreement at any time. When the terms are changed, NORTHSTAR Travel Media may notify you by e-mail or online postings. The changes also will appear in this document, which you may access at any time by clicking on Update Subscription in the STAR Service Online navigation bar and accessing the Subscription Agreement link. It is your responsibility to access this document to determine if there have been any changes to the terms of the Subscription Agreement. By checking the box stating that you have read and agree to the terms of this Agreement, and clicking Continue, you will be indicating that you agree to be bound by the changes. If you do not agree to be bound by the changes, you should cancel your subscription to STAR Service. If you do not cancel your subscription to STAR Service after NORTHSTAR Travel Media has notified subscribers of a change in the Subscription Agreement, you agree to be bound by all of the changes.

PRIVACY OF INFORMATION

By checking the box, you also are agreeing that NORTHSTAR Travel Media may store the information you provided as part of the registration process and your use of STAR Service, and provide aggregate statistical and other Information about STAR Service subscribers to potential advertisers in STAR Service and other NORTHSTAR Travel Media Publications. NORTHSTAR Travel Media also may use the information to inform you about other NORTHSTAR Travel Media publications, products and services, unless you notify NORTHSTAR Travel Media that you do not wish to receive this information. NORTHSTAR Travel Media may also share with third parties your name, address, phone number, email address, or other specific personal identifying information about your use of STAR Service, unless you notify NORTHSTAR Travel Media that you do not want this information shared with third parties.

FEES AND PAYMENTS

You can always find the current Subscription Fees and charges posted in the Registration Section. The term of this Agreement shall be for one year with the option to pay in monthly installments. As of 04/22/05, all new and renewal subscriptions will participate in a Subscriber Advantage Plan which allows automatic renewal on all accounts unless otherwise terminated within 30 days prior to the end of the term. These fees will be pre-paid by you using a check or credit card, or billed automatically to your credit card or bank account at the start of the annual or monthly period, and at the start of each renewal period, unless you terminate your subscription before the relevant period begins. As of 10/01/04 all NEW accounts are paid annually. You agree to pay or have paid all fees and charges incurred in connection with your user name and password for STAR Service (including any applicable taxes) at the rates in effect when the charges were incurred. All fees and charges are nonrefundable. For monthly subscriptions initiated before 03/15/04, all cancellations will take place 30 days after receipt of cancellation request. In such case, you remain responsible for any other fees and costs incurred by you, including without limitation transaction fees which may be incurred by you for certain information, technology, goods or services provided to you. During this 30-day period, you will be charged once more. As of 03/15/04 all new accounts may cancel their subscription to STAR Service within 7 days of registration and not be responsible for the fees due at registration. Cancellation requests must be signed and include the account number, as well as the reason for canceling.

NORTHSTAR Travel Media may change the fees and charges then in effect, or add new fees or charges, by giving you notice in advance or by posting the changed fees on STAR Service under the My Account Section. It is your responsibility to check the current fees. Any discounts which apply to subscribers to any of NORTHSTAR'S print publications will apply only for the effective periods of such subscriptions, and will automatically adjust upon the expiration or termination of such subscriptions. All fees and charges incurred in connection with your user name(s) and password(s) will be billed to the credit card you designate during the registration process for STAR Service. If you want to designate a different credit card or there is a change in your credit card validity or expiration date, or if you believe someone has accessed STAR Service using your user name(s) and password(s) without your authorization, you must call STAR Service Customer Service at the telephone number on the STAR Service website. You also are responsible for any fees or charges incurred to access STAR Service through an Internet access provider or other third-party service.

YOU, AND NOT NORTHSTAR TRAVEL MEDIA, ARE RESPONSIBLE FOR PAYING ANY AMOUNTS BILLED TO YOUR CREDIT CARD BY A THIRD PARTY WHICH WERE NOT AUTHORIZED BY YOU.

The content available through STAR Service (including but not limited to articles, reviews photographs, images, illustrations, audio clips and video clips, software and databases) is the property of NORTHSTAR Travel Media or its licensors and is protected by copyright and other intellectual property laws. STAR Service is copyrighted under United States copyright law. You agree not to modify, reproduce, copy, download, retransmit, distribute, disseminate, sell, publish, broadcast or circulate the content received through the STAR Service to anyone, including but not limited to others in the same company or organization, without the Express prior written consent of NORTHSTAR Travel Media, with this one exception: You may disseminate an insubstantial portion of content from STAR Service, without charge, and transmitted via e-mail or hard copy, to individuals for internal use and for distribution to your clients, if they agree not to further distribute the content, provided you include all copyright and other proprietary rights notices with such portion of the content in the same form in which the notices appear in STAR Service.

You may not post any content from STAR Service to newsgroups, mail lists or electronic bulletin boards, without the prior written consent of NORTHSTAR Travel Media. To request consent for other matters, please contact STAR Service Customer Service. You may access STAR Service from a single subscriber office location as set forth in the order form to be completed by you ("Site of Usage"). Upon acceptance of the order form, you will be issued a user name and password. Each user ID permits one person to access the Web site, and sharing the same ID is not permitted. You can purchase additional user names and passwords for concurrent access to STAR Service from www.starserviceonline.com. In no case shall the user names and passwords be used to access STAR Service, or to distribute its content, from a location other than the Site of Usage. STAR Service includes facts, views, opinions and recommendations of individuals and organizations deemed of interest. NORTHSTAR Travel Media and its content licensors do not guarantee the accuracy, completeness or timeliness of, or otherwise endorse, these facts, views, opinions or recommendations.

DISCLAIMER OF WARRANTIES AND LIABILITY

STAR Service accepts no advertising and is not sponsored by any commercial interest. Hotel and cruise ship reports, based on personal inspections by correspondents, are intended solely for the use of our subscribers. Listings and reviews of hotels, cruise ships, or other facilities in this publication do not in any way imply any endorsement by NORTHSTAR Travel Media, its affiliates, agents or licensors. Subscribers are advised to take advantage of all sources of information available to them before making reservations at any property listed in STAR Service.

Due to the number of sources from which content in STAR Service is obtained, and the inherent hazards of electronic distribution, there may be delays, omissions or inaccuracies in such content and STAR Service, NORTHSTAR Travel Media and its affiliates, agents and licensors cannot and do not warrant the accuracy, completeness, noninfringement, merchantability or fitness for a particular purpose of the content available through STAR Service, or STAR Service itself. Neither NORTHSTAR Travel Media nor any of its affiliates, agents or licensors shall be liable to you or anyone else for any loss or injury resulting directly or indirectly from use of STAR Service, caused in whole or part by its negligence or contingencies beyond its control in procuring, compiling, interpreting, reporting or delivering STAR Service and any content through STAR Service. In no event will NORTHSTAR Travel Media, its affiliates, agents or licensors be liable to you or anyone else for any decision made or action taken in reliance on such content or STAR Service. NORTHSTAR Travel Media and its affiliates, agents and licensors shall not be liable to you or anyone else for any damages (including, without limitation, consequential, special, incidental, indirect, or similar damages) even if advised of the possibility of such damages. You agree that the liability of NORTHSTAR Travel Media, its affiliates, agents and licensors, if any, arising out of any kind of legal claim (whether in contract, tort or otherwise) in any way connected with STAR Service or the content in STAR Service shall not exceed the amount you paid to NORTHSTAR Travel Media for the use of STAR Service in the 12 months immediately preceding the event giving rise to such claim. You may be able to access other Internet sites not created by NORTHSTAR Travel Media or its affiliates through STAR Service. The reliability, availability, legality, performance and other aspects of resources on Internet sites not created by NORTHSTAR Travel Media or its affiliates is beyond NORTHSTAR'S control, and NORTHSTAR Travel Media makes no representations or warranties with respect to such sites. NORTHSTAR Travel Media makes no warranty, express or implied, on behalf of any product or service offered, sold or otherwise made available to you as a result of your use of STAR Service, and expressly disclaims any implied warranties of non-infringement, merchantibility or fitness for a particular purpose with respect to such services or items.

You are responsible for all statements made and acts or omissions that occur while your password is being used. You may not use STAR Service for any unlawful purpose. NORTHSTAR Travel Media may refuse to grant you a user name that impersonates someone else, is protected by trademark or other proprietary right law, or is vulgar or otherwise offensive, as determined by NORTHSTAR Travel Media in its sole discretion.

NORTHSTAR Travel Media may discontinue or change STAR Service, or its availability to you, at any time, and you may always terminate your subscription at any time. This Agreement is personal to you, and you may not assign your rights or delegate your obligations to anyone. If any provision in this Agreement is invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect. This Agreement, your rights and obligations, and all actions contemplated by this Agreement shall be governed by the laws of the United States of America and the Commonwealth of Massachusetts, as if the Agreement was a contract wholly entered into and wholly performed within the Commonwealth of Massachusetts. Any legal action or proceeding with respect to this Agreement or any matter related thereto may be brought exclusively in the courts of the Commonwealth of Massachusetts or in the United States District Court for the District of Massachusetts. By checking the box to acknowledge that you accept the terms of this Agreement, you accept generally and unconditionally the jurisdiction of the aforesaid courts and irrevocably waive any objection to such jurisdiction. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods.
